Terms of Service

These Terms of Service ("Terms") govern your use of the Backpack App service ("Service") operated by Backpack ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Backpack App provides cloud-hosted knowledge graph storage and collaboration tools. The Service allows you to store, organize, search, and share structured knowledge through our web application and MCP integrations.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you believe your account has been compromised.

3. Your Data

You retain ownership of all data you store in the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely to provide and improve the Service. We do not sell, share, or use Your Data for advertising purposes.

4. Acceptable Use

You agree not to use the Service to:

  • Store protected health information (PHI) as defined by HIPAA or equivalent regulations
  • Store classified, controlled unclassified (CUI), or export-controlled information subject to ITAR, EAR, or similar regulations
  • Store information classified under any government security framework
  • Store, distribute, or facilitate access to illegal content
  • Store credentials, passwords, encryption keys, or other security-sensitive material
  • Engage in any activity that violates applicable laws or regulations
  • Interfere with, disrupt, or place unreasonable load on the Service or its infrastructure
  • Attempt to gain unauthorized access to other users' data or accounts
  • Use the Service to build a competing product or service
  • Reverse engineer, decompile, or attempt to extract the source code of proprietary components

We reserve the right to remove content and suspend or terminate accounts that violate this policy, with or without notice.

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service is provided on an "as-is" and "as-available" basis. We may perform maintenance, updates, or modifications that temporarily affect availability.

6. Free and Paid Plans

The Service offers both free and paid plans. Features, limits, and pricing for paid plans are described on our pricing page. We reserve the right to modify pricing and plan features with reasonable notice. If you cancel a paid plan, you retain access to your data but may lose access to paid features.

7. Data Deletion

You may request deletion of your data through the account settings page. Deleted data is marked for removal and permanently purged from our systems within 30 days. We may retain anonymized, aggregated data that cannot be linked to your account.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including the storage of regulated, controlled, or illegal content.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may close your account at any time through the account settings page. Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 10, and 13 survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.
